Infineon to Sell NOR Flash and F-RAM Business to Winbond for $1.12 Billion

September 17, 2026 / SemiMedia / — Infineon Technologies has entered into a definitive agreement to sell its NOR Flash and F-RAM business to Winbond Electronics for $1.12 billion in cash, with the transaction expected to close in the second half of 2027 subject to regulatory approvals.

The transaction covers Infineon's NOR Flash and F-RAM products serving automotive, industrial and infrastructure customers. Winbond will acquire 100% of the business, expanding its global memory portfolio, R&D resources and supply capabilities.

Following completion of the transaction, the acquired business will operate as a standalone company headquartered in Silicon Valley and will be renamed Spansion. Winbond said the business has more than 30 years of experience in memory solutions and is expected to bring employees from more than 10 countries into the organization.

Until the transaction closes, Infineon said the NOR Flash and F-RAM business will continue operating as part of the company. It will continue investing in product roadmaps, supporting ongoing development programs, securing supply and fulfilling existing customer commitments.

Infineon will remain active in specialty memory after the sale. The company will retain SRAM, HYPERRAM, nvSRAM and SONOS-based radiation-hardened memory solutions for automotive, industrial, infrastructure, aerospace and defense applications.

Infineon said the divestment will allow it to focus its portfolio and capital allocation more closely on its core growth areas, while Winbond expects the acquisition to broaden its position in automotive and industrial non-volatile memory markets.
