October 6, 2026 / SemiMedia / — Skyworks has completed its combination with Qorvo, creating a larger U.S.-based semiconductor company spanning high-performance RF, power management, analog and mixed-signal technologies.
Under the transaction terms, Qorvo shareholders are entitled to receive $32.50 in cash and 0.960 shares of Skyworks common stock for each Qorvo share. Legacy Skyworks shareholders own approximately 63% of the combined company on a fully diluted basis, while former Qorvo shareholders hold about 37%.
The combination significantly expands Skyworks' engineering and technology base. The merged company has approximately 8,000 engineers and more than 12,000 issued and pending patents, while adding RF GaN, low-voltage power and wired broadband technologies to its broader RF, analog and power portfolio.
In mobile devices, the merger broadens Skyworks' RF front-end offering as smartphones move toward 5G-Advanced and eventually 6G, increasing requirements for additional frequency bands, new spectrum and more highly integrated RF solutions.
Beyond mobile, Skyworks said the transaction more than doubles its addressable market and expands its position across Physical AI and connected edge, defense and aerospace, data center and networking, and automotive applications.
Skyworks expects to realize at least $500 million in annualized cost synergies within 24 to 36 months following the close. The transaction is also expected to be immediately accretive to non-GAAP earnings per share.
Phil Brace remains president and CEO of Skyworks, while former Qorvo president and CEO Bob Bruggeworth has joined the Skyworks Board of Directors. The company plans to provide updated financial guidance during its fiscal fourth-quarter earnings call on November 3.
